Terms of Service

This document is published in English, which is its authoritative version.

Last updated: [DATE — to be set on final approval]

1. Who We Are

Amod ("the Platform," "the Service") is operated by Savana Software Solutions PLC ("Savana," "we," "us," "our"), a company registered in Ethiopia. These Terms of Service ("Terms") govern your access to and use of Amod, including the Auto Spare Parts module and any future modules.

By creating a business account on Amod, you ("Customer," "you," "your business") agree to these Terms on behalf of your business and confirm you have the authority to do so.

2. What Amod Is

Amod is a multi-tenant, offline-first software-as-a-service platform providing point-of-sale, inventory, and accounting functionality for small and medium businesses. Each business that signs up operates as an independent tenant with its own isolated data.

3. Accounts and Eligibility

  • You must provide accurate information when creating an account, including a valid phone number used for identity verification (OTP).
  • You are responsible for all activity that occurs under your account and for keeping your PIN and login credentials confidential.
  • One business = one tenant. A single user identity may be linked to multiple tenants (e.g. an owner of several businesses).
  • You must be legally authorized to operate the business you register on Amod.

4. Plans, Pricing, and Billing

  • Amod offers Core, Growth, Elite, and Custom plans, each with defined limits on locations, staff seats, and included features, as described on our pricing page at the time of signup.
  • Prices are quoted in Ethiopian Birr (ETB) unless otherwise agreed.
  • [Placeholder — billing cycle, payment method, late payment, and refund terms to be finalized once the payment gateway integration and billing logic are built.]
  • We may change pricing with advance notice; continued use after a price change constitutes acceptance of the new pricing for your next billing cycle.

5. Your Data

  • You retain ownership of all business data you input into Amod (transactions, inventory, customer records, staff records, financial data).
  • We do not sell your business data to third parties.
  • You are responsible for the accuracy of data you or your staff enter.
  • On account cancellation, [placeholder — data export and deletion process to be defined; see Phase 7 backlog item "Tenant offboarding/export/deletion flow"].

6. Acceptable Use

You agree not to:

  • Use Amod for any unlawful purpose or to process transactions you know to be fraudulent.
  • Attempt to bypass, disable, or interfere with Amod's security controls (authentication, rate limiting, permission checks, or audit logging).
  • Attempt to access another tenant's data without authorization.
  • Reverse engineer, resell, or sublicense the Platform except as expressly permitted.
  • Use automated tools to abuse shared infrastructure (e.g. excessive API calls, scripted account creation) in a way that degrades service for other tenants.

7. Offline Functionality

Amod is designed to function offline for core operations on eligible plans, syncing data to our servers when a connection is available. You acknowledge that:

  • Data entered offline is stored locally on the device until sync occurs.
  • Certain features (e.g. multi-location transfers on Growth/Elite plans) require an active connection by design.
  • We are not liable for data loss caused by device failure, loss, or damage occurring before a successful sync.

8. Third-Party Services

Amod relies on third-party infrastructure providers to operate, including but not limited to database hosting, error monitoring, SMS/OTP delivery, and (in future) payment processing. Use of Amod constitutes acknowledgment that data may be processed by these providers as described in our [Privacy Policy](./PRIVACY_POLICY.md).

9. Service Availability

We aim to keep Amod available and reliable but do not guarantee uninterrupted access. We are not liable for downtime caused by circumstances outside our reasonable control, including third-party infrastructure outages.

10. Termination

  • You may cancel your account at any time through the Platform or by contacting us.
  • We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Platform or other tenants.
  • [Placeholder — notice period and data retention after termination to be finalized.]

11. Limitation of Liability

[Placeholder — standard SaaS limitation-of-liability clause to be drafted by legal counsel, appropriate to Ethiopian law and the nature of financial/inventory data processed by Amod.]

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to account owners in advance. Continued use of Amod after changes take effect constitutes acceptance.

13. Governing Law

[Placeholder — governing law and dispute resolution jurisdiction to be confirmed with legal counsel; expected to be the Federal Democratic Republic of Ethiopia.]
